{"id":106,"date":"2012-06-14T09:28:00","date_gmt":"2012-06-14T09:28:00","guid":{"rendered":"https:\/\/baron.yakimaxim.site\/article-new-liability-for-company-officials\/"},"modified":"2026-03-12T10:37:36","modified_gmt":"2026-03-12T10:37:36","slug":"article-new-liability-for-company-officials","status":"publish","type":"post","link":"https:\/\/frishberg.com\/uk\/article-new-liability-for-company-officials\/","title":{"rendered":"New Liability For Company Officials"},"content":{"rendered":"<div class=\"vgblk-rw-wrapper limit-wrapper\"><p style=\"text-align: justify;\"><span style=\"color: #000000;\">June 14, 2012 <\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"color: #000000;\">TO: Clients and Friends of the Firm\u00a0<\/span>\n<span style=\"color: #000000;\">FR: Tatyana Dzyadok, Esq. <\/span>\n<span style=\"color: #000000;\">RE: <strong>New Liability for Company Officials <\/strong><\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"color: #000000;\">We would like to inform you that the Law of Ukraine No. 3454 \u201cOn Amendments to Certain\u00a0Legislative Acts of Ukraine to Increase Liability for Violation of Personal Data Protection Law\u201d\u00a0comes into force on July 1, 2012.\u00a0<\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"color: #000000;\">The key provision of this law establishes liability for company officials in case they fail to register\u00a0personal data base with Ukrainian authorities. For now, such liability is in the form of monetary\u00a0(administrative) fine equal up to 17,000 UAH (about 2,000 USD). Note, however, that the Criminal\u00a0Code will be also amended accordingly in light of such changes, providing for arrest of any guilty\u00a0officials for up to six (6) months or even imprisonment for a period of up to three (3) years.\u00a0<\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"color: #000000;\">The said registration of the personal data is only one of the material aspects, contained in the Law\u00a0of Ukraine No. 2297 \u2013 VI \u201cOn Personal Data Protection,\u201d dated June 1, 2010, which came into\u00a0force as of January 1, 2011 (hereinafter, \u201cthe Law\u201d). Apart from registration of personal data base,\u00a0the Law involves the following two other basic responsibilities for the owner of personal data base:\u00a0<\/span><\/p>\n<p style=\"margin-left: 30px; text-align: justify;\"><span style=\"color: #000000;\">. obtaining a consent for processing of personal data;\u00a0<\/span>\n<span style=\"color: #000000;\">. notification of the person (i.e., subject of personal data) about his\/her rights. <\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"color: #000000;\">Thus, the personal data that is contained in the data base may be processed exclusively on the basis\u00a0of the legal grounds. The key to compliance is obtaining written consent of the person whose\u00a0personal data is processed, for effectuating such processing. Importantly, the Law prohibits\u00a0processing of personal data on racial or ethnic origin, political, religious or philosophical beliefs,\u00a0membership in political parties and trade unions, as well as data concerning health or sexual life\u00a0(unless unambiguous consent of the person is obtained).\u00a0<\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"color: #000000;\">Based on the foregoing, in light of employment relationship any employer is technically considered\u00a0to be an owner of personal data. Accordingly, an employee can be allowed to work only after\u00a0obtaining his\/her consent for processing his\/her personal data. Similar to the employment\u00a0relationship, any holder of personal data should obtain relevant consent from its clients, customers,\u00a0contractors and any other subject of personal data.\u00a0<\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"color: #000000;\">To summarize, in order to bring into compliance the relationship between the holders of the\u00a0personal data base and the subjects of personal data, it is necessary to obtain the respective consent\u00a0from the subjects of personal data, granting the permission to process such data.\u00a0<\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"color: #000000;\">In light of the foregoing requirements, please let us know if you wish to receive a draft of the\u00a0application, which you may offer to the subjects of personal data in order to obtain their consent.\u00a0Alternatively, your company\u2019s officials may be held liable for any fines resulting from failure to\u00a0comply with this requirement.<\/span><span style=\"color: #000000;\">\f<\/span><\/p>\n<p style=\"text-align: justify;\"><span style=\"color: #000000;\"><\/span><\/p>\n\n<div class=\"wp-block-buttons is-layout-flex wp-block-buttons-is-layout-flex\">\n<div class=\"wp-block-button\"><a class=\"wp-block-button__link wp-element-button\" href=\"https:\/\/www.mondaq.com\/data-protection\/193394\/new-liability-for-company-officials\" target=\"_blank\" rel=\"noreferrer noopener\">Also read on mondaq<\/a><\/div>\n<\/div>\n<p style=\"text-align: justify;\"><span style=\"color: #000000;\">\u00a0<\/span><\/p><\/div><!-- .vgblk-rw-wrapper -->","protected":false},"excerpt":{"rendered":"<p>June 14, 2012 TO: Clients and Friends of the Firm\u00a0 FR: Tatyana Dzyadok, Esq.
